Niopub – Terms of Service

1. Introduction

Welcome to Niopub (“Niopub,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Niopub application, website, and associated services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Service.

2. Description of the Service

Niopub is an AI companion platform where users (“Users”) configure and interact with AI-powered digital agents (“Agents”). Users may create Agents by providing User-Provided Context, such as prompts, personality descriptions, documents, images, or other informational materials that help the Agent operate.

Niopub runs all Agents on its own infrastructure, including GPUs, servers, orchestration tools, and operational logic. Users do not host, publish, or distribute content through Niopub; they simply provide contextual data used internally by Niopub’s systems to generate AI outputs.

Agents may be set to public (available for all Users to chat with) or private (available only to the creator).

Niopub does not function as a social content-hosting platform and does not enable the sale, posting, or distribution of user-generated content.

3. Eligibility

You may use the Service only if you:

1. Are at least the age of majority in your jurisdiction;
   
2. Have the legal capacity to enter into binding contracts; and
   
3. Are not prohibited from using Stripe or similar financial services.
   

4. Account Registration

You agree to:

• Provide accurate and up-to-date registration information;
  
• Maintain the security of your login credentials;
  
• Be responsible for all actions under your account.
  

5. User-Provided Context

5.1 Ownership

You retain rights to the context you provide solely for the purpose of configuring or operating an Agent.

5.2 License to Niopub

By supplying context, you grant Niopub a non-exclusive, worldwide, royalty-free license to store, process, transform, and use such context only for operating, maintaining, improving, securing, and training Niopub’s systems, including the operation of Agents on Niopub’s infrastructure.

5.3 Not User-Generated Content

User-Provided Context is not treated as publicly posted content.
It is used internally by Niopub’s AI systems and is not distributed or sold to other users.

5.4 Prohibited Context

You may not supply context that:

• Infringes on intellectual property, including copyrighted or proprietary works;
  
• Contains unauthorized or leaked content;
  
• Includes explicit sexual content, nudity, or erotic material;
  
• Includes hate speech, extremist content, or violent material;
  
• Involves illegal, fraudulent, or harmful activity;
  
• Contains sensitive personal data (e.g., health, financial, or government identifiers).
  

Niopub may restrict or remove any Agent containing prohibited context.

6. Agent Interactions & AI-Generated Outputs

Agents generate responses using AI models operated exclusively by Niopub.
Niopub does not guarantee the accuracy, completeness, or appropriateness of any Agent response.

Users interacting with Agents understand and agree that:

• Agent outputs are generated autonomously and may be unpredictable;
  
• Niopub may log interactions to operate, maintain, and improve the Service;
  
• Public Agents may store interactions in ways visible to their creator.
  

Niopub is not liable for any damages or decisions made in reliance on Agent outputs.

7. Tips and Monetization

7.1 Tips Are Voluntary

Users may optionally send tips to creators of public Agents as a form of appreciation for making an Agent available.
Tips are not payments for goods, services, or content and do not entitle the sender to any specific output, access, or benefit.

7.2 Platform Fee

Niopub collects a 10% platform fee from each tip.
The remaining amount is credited to the Agent creator’s connected Stripe account.

7.3 Stripe Compliance

To receive tips, Users must:

• Successfully complete onboarding to Stripe Connect;
  
• Comply with Stripe’s Terms of Service and Restricted Business Policies;
  
• Authorize Niopub to transfer necessary data to Stripe for compliance.
  

Stripe may suspend or restrict payouts at its discretion, which may affect your ability to receive tips.

7.4 Taxes

Users receiving tips are solely responsible for paying any applicable taxes and filing required reports.

7.5 No Marketplace Activity

Niopub is not a marketplace.
Users cannot sell or purchase content, digital goods, or services through Niopub.
Tips do not create a commercial transaction.

8. Acceptable Use Policy

You agree not to:

• Supply prohibited context (Section 5.4);
  
• Use Agents for harassment, threats, doxxing, or abuse;
  
• Engage in illegal, fraudulent, or deceptive activity;
  
• Reverse-engineer, attack, disrupt, or interfere with the Service;
  
• Attempt to circumvent platform restrictions or payment systems.
  

9. Privacy and Data Use

Niopub collects and processes personal data as described in our Privacy Policy.
We may store interaction logs, context data, and telemetry for security, diagnostics, compliance, and product improvement.

Niopub does not sell user data.

10. Intellectual Property

Apart from User-Provided Context, all technology, models, design, documentation, and intellectual property related to the Service belong exclusively to Neosphere Inc.

11. Suspension and Termination

Niopub may suspend or terminate your account or any Agent if:

• You violate these Terms or our Acceptable Use Policy;
  
• Your Stripe account becomes restricted or non-operational;
  
• Your Agent poses security, legal, or operational risks;
  
• You engage in fraudulent or abusive behavior.
  

12. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

Niopub does not guarantee:

• Uptime or uninterrupted access;
  
• Accuracy or reliability of AI outputs;
  
• Security of data against all threats.
  

13. Limitation of Liability

To the fullest extent allowed by law, Niopub shall not be liable for indirect, incidental, special, consequential, or exemplary damages of any kind.

Niopub’s total liability for all claims shall not exceed USD $100.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

15. Changes to Terms

We may update these Terms at any time.
Continued use of the Service constitutes acceptance of the updated Terms.

17. Miscellaneous

• These Terms constitute the entire agreement between you and Niopub.
  
• If any part of the Terms is deemed invalid, the remaining provisions remain in effect.
  
• Failure to enforce a provision does not constitute a waiver of that provision.
